1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and Systemify Automation("Company," "we," "our," or "us") concerning your access to and use of our website, services, and products.

By accessing or using our services, you agree that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use our services.

2. Definitions

• "Services" refers to all automation solutions, consulting, software, tools, and related services provided by Systemify Automation
• "User," "you," or "your" refers to any individual or entity accessing or using our services
• "Content" refers to all text, images, data, software, and other materials available through our services
• "Client" refers to customers who have entered into a paid service agreement
• "Account" refers to your registered user profile and access credentials

3. Eligibility and Account Registration

3.1 Eligibility

To use our services, you must:

• Be at least 18 years of age
• Have the legal capacity to enter into binding contracts
• Not be prohibited from using our services under applicable laws
• Provide accurate and complete registration information

3.2 Account Security

You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activities that occur under your account
• Notifying us immediately of any unauthorized access
• Ensuring your account information remains accurate and up-to-date

3.3 Business Representation

If you are using our services on behalf of a business or organization, you represent that you have the authority to bind that entity to these Terms.

4. Services Description

Systemify Automation provides AI-powered automation solutions designed to streamline business processes. Our services may include but are not limited to:

• Business process automation and workflow optimization
• AI integration and custom automation development
• Consulting and strategy services
• Software tools and platforms
• Training and support services
• Maintenance and ongoing optimization

Specific service details, features, deliverables, and timelines are outlined in individual service agreements or statements of work (SOW).

5. Service Modifications

We reserve the right to:

• Modify, suspend, or discontinue any part of our services at any time
• Update features, functionality, or service offerings
• Change pricing with advance notice to existing clients
• Impose usage limits or restrictions

We will provide reasonable notice of material changes that negatively impact existing paid services. Continued use after changes constitutes acceptance.

6. Payment Terms

6.1 Fees and Pricing

• Service fees are specified in your service agreement or invoice
• All fees are in U.S. Dollars (USD) unless otherwise stated
• Pricing is subject to change with 30 days' notice for ongoing services
• Custom projects are quoted individually based on scope and requirements

6.2 Payment Schedule

• Payment terms are specified in your service agreement (typically net 15-30 days)
• Subscription services are billed monthly or annually in advance
• Project-based services may require deposits or milestone-based payments
• Late payments may incur interest charges of 1.5% per month or maximum allowed by law

6.3 Taxes

All fees are exclusive of applicable taxes, duties, or levies. You are responsible for all sales, use, and other taxes except those based on our income.

6.4 Refund Policy

• Custom development and consulting services are non-refundable once work has commenced
• Subscription services may be eligible for pro-rated refunds within 30 days of initial purchase
• Refund requests must be submitted in writing to yassir@systemifyautomation.com
• Refunds are processed within 14 business days of approval

7. User Obligations and Acceptable Use

7.1 Acceptable Use

You agree not to:

• Use our services for any illegal, harmful, or fraudulent purpose
• Violate any applicable laws, regulations, or third-party rights
• Interfere with or disrupt the integrity or performance of our services
• Attempt to gain unauthorized access to our systems or networks
• Upload viruses, malware, or any malicious code
• Engage in data scraping, harvesting, or automated data collection without permission
• Impersonate any person or entity or misrepresent your affiliation
• Transmit spam, chain letters, or unsolicited mass communications
• Violate intellectual property rights of any party
• Use our services to compete with us or develop competing products

7.2 Content Standards

Any content you provide must:

• Not be defamatory, obscene, offensive, or harmful
• Not infringe on intellectual property or privacy rights
• Not contain confidential information without proper authorization
• Comply with all applicable laws and regulations

8. Intellectual Property Rights

8.1 Our Intellectual Property

All content, features, functionality, software, code, designs, graphics, trademarks, and other materials provided through our services are owned by Systemify Automation or our licensors and are protected by copyright, trademark, patent, and other intellectual property laws.

8.2 License to Use

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use our services for their intended purpose in accordance with these Terms.

8.3 Custom Development

• Client Data: You retain all rights to your business data and proprietary information
• Custom Solutions: Ownership of custom-developed solutions is specified in the SOW
• Pre-existing IP: We retain ownership of our pre-existing tools, frameworks, and methodologies
• Derivative Works: Rights to improvements and modifications are addressed in service agreements

8.4 Restrictions

You may not:

• Copy, modify, distribute, or create derivative works from our services
• Reverse engineer, decompile, or disassemble our software
• Remove or alter any proprietary notices or labels
• Use our trademarks, logos, or branding without written permission

9. Confidentiality

Both parties agree to maintain the confidentiality of any proprietary or confidential information disclosed during the course of our business relationship. Confidential information includes:

• Business strategies, processes, and methodologies
• Technical data, code, and specifications
• Financial information and pricing
• Customer and business partner information

Confidentiality obligations survive termination of services and continue for a period of 3 years unless otherwise specified in a separate Non-Disclosure Agreement (NDA).

10. Warranties and Disclaimers

10.1 Service Warranties

We warrant that:

• Services will be performed in a professional and workmanlike manner
• We have the right and authority to provide the services
• Services will substantially conform to specifications in the SOW

10.2 Disclaimer of Warranties

EXCEPT AS EXPRESSLY PROVIDED, OUR SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

• IMPLIED WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE
• WARRANTIES OF UNINTERRUPTED OR ERROR-FREE OPERATION
• WARRANTIES THAT SERVICES WILL MEET YOUR SPECIFIC REQUIREMENTS
• WARRANTIES REGARDING THE ACCURACY OR RELIABILITY OF RESULTS

We do not guarantee that our services will be secure, error-free, or free from viruses or other harmful components.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SYSTEMIFY AUTOMATION AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR:

• INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
• LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITIES
• BUSINESS INTERRUPTION OR LOSS OF GOODWILL
• COST OF SUBSTITUTE SERVICES

OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM OR RELATED TO SERVICES SHALL NOT EXCEED THE AMOUNT PAID BY YOU TO US IN THE 12 MONTHS PRECEDING THE CLAIM, OR $1,000, WHICHEVER IS GREATER.

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES. IN SUCH JURISDICTIONS, OUR LIABILITY IS LIMITED TO THE MAXIMUM EXTENT PERMITTED BY LAW.

12. Indemnification

You agree to indemnify, defend, and hold harmless Systemify Automation, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising from:

• Your violation of these Terms
• Your violation of any rights of another party
• Your use or misuse of our services
• Your content or data provided to us
• Your violation of applicable laws or regulations

13. Term and Termination

13.1 Term

These Terms remain in effect while you use our services. Service-specific terms are outlined in individual agreements.

13.2 Termination by You

• You may terminate your account at any time by contacting us
• Subscription cancellations take effect at the end of the current billing period
• No refunds for partial periods unless otherwise specified

13.3 Termination by Us

We may suspend or terminate your access immediately if:

• You breach these Terms or any service agreement
• You fail to make required payments
• Your use poses a security risk or violates laws
• We discontinue services (with reasonable notice)

13.4 Effect of Termination

• Your right to access and use services immediately ceases
• You remain responsible for all fees incurred prior to termination
• We may delete your account data after 30 days (unless legally required to retain)
• Provisions intended to survive termination (e.g., confidentiality, liability) remain in effect

14. Dispute Resolution

14.1 Informal Resolution

Before filing a formal dispute, you agree to contact us at yassir@systemifyautomation.com to attempt to resolve the issue informally. We will work in good faith to resolve disputes within 30 days.

14.2 Binding Arbitration

Any dispute, claim, or controversy arising from these Terms or our services shall be resolved through binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules.

• Arbitration will be conducted in WY
• The arbitrator's decision is final and binding
• Each party bears its own costs unless the arbitrator decides otherwise
• Small claims court disputes are exempt from arbitration

14.3 Class Action Waiver

YOU AGREE THAT DISPUTES WILL BE RESOLVED ON AN INDIVIDUAL BASIS. YOU WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS ACTION OR CLASS-WIDE ARBITRATION.

15. Governing Law and Jurisdiction

These Terms are governed by the laws of the State of WY, United States, without regard to conflict of law principles. Any legal action not subject to arbitration must be brought in the state or federal courts located in Sheridan, WY.

16. Force Majeure

We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including but not limited to:

• Natural disasters, pandemics, or acts of God
• War, terrorism, or civil unrest
• Government actions or regulations
• Internet or telecommunications failures
• Third-party service provider outages

17. General Provisions

17.1 Entire Agreement

These Terms, together with any service agreements, constitute the entire agreement between you andSystemify Automation regarding our services.

17.2 Amendments

We may modify these Terms at any time. Material changes will be notified via email or website notice. Continued use after changes constitutes acceptance.

17.3 Severability

If any provision is found unenforceable, the remaining provisions remain in full force and effect.

17.4 Waiver

Our failure to enforce any right or provision does not constitute a waiver of that right or provision.

17.5 Assignment

You may not assign or transfer these Terms without our written consent. We may assign our rights and obligations without restriction.

17.6 No Agency

Nothing in these Terms creates a partnership, joint venture, employment, or agency relationship.
